Art. 656c 1. In general

1 Participation certificate holders have no right to vote and, unless otherwise provided by the articles of association, none of the rights associated therewith.

2 Rights associated with the right to vote are the right to convene a general meeting, the right to attend such a meeting, the right to information, the right of inspection and the right to table agenda items and motions.415

3 Subject to the same requirements as the shareholder, the participation certificate holder has the right to instigate a special investigation. If the articles of association do not provide for any more far-reaching rights, the participation certificate holder may submit a written request for information, access to documents or the instigation of a special investigation to the general meeting.416

Art. 656 2. Droits attachés aux actions privilégiées

1 Les actions privilégiées jouissent des avantages qui leur sont expressément conférés par rapport aux actions ordinaires dans les statuts primitifs ou à la suite d’une modification de ceux-ci. Elles sont assimilées, pour le surplus, aux actions ordinaires.

2 Les avantages peuvent s’étendre notamment aux dividendes, avec ou sans droit aux dividendes supplémentaires, à la part de liquidation et au droit préférentiel de souscription en cas d’émissions futures.
