Art. 734f VII. Rappresentanza dei sessi nel consiglio d’amministrazio-ne e nella direzione

Se uno dei sessi non è rappresentato almeno in ragione del 30 per cento nel consiglio d’amministrazione e almeno in ragione del 20 per cento nella direzione di una società che supera i valori soglia di cui all’articolo 727 capoverso 1 numero 2, la relazione sulle retribuzioni indica:

1.: i motivi per i quali il sesso in questione non è rappresentato come previsto; e
2.: i provvedimenti per promuoverne la rappresentanza.

Art. 735 I. Remuneration

¹ The general meeting shall vote on the remuneration that the board of directors, the executive board and the board of advisors directly or indirectly receive from the company.

² The articles of association shall regulate the details of the vote. They may regulate the procedure in the event that the general meeting does not agree to the remuneration.

³ The following rules must be observed:

1.: The general meeting shall vote annually on the remuneration.
2.: The general meeting shall vote separately on the total amount for the remuneration of the board of directors, the executive board and the board of advisors.
3.: The vote of the general meeting is binding.
4.: If variable remuneration is voted on prospectively, the remuneration report must be submitted to the general meeting for an advisory vote.
