Art. 545 1. In general

1 The partnership is dissolved:

1.
where the purpose of the partnership has been achieved or become impossible to achieve;
2.
on the death of one of the partners, unless it was previously agreed that the partnership would continue with his heirs;
3.274
where the share in the proceeds of liquidation of a partner is subject to compulsory sale or one of the partners is declared bankrupt or made subject to a general deputyship;
4.
by unanimous decision of the partners;
5.
on expiry of the period for which the partnership was established;
6.
by notice of termination served by one of the partners, where such right was reserved in the partnership agreement or the partnership was established for an indefinite duration or for the lifetime of one of the partners;
7.
by court275 judgment in cases of dissolution for good cause.

2 The dissolution of the partnership may be requested for good cause before the duration of the partnership agreement expires or, where it was established for an indefinite duration, with immediate effect.

Art. 544 II. Effets de la représentation

1 Les choses, créances et droits réels transférés ou acquis à la société appartiennent en commun aux associés dans les termes du contrat de société.

2 Les créanciers d’un associé ne peuvent exercer leurs droits que sur sa part de liquidation, à moins que le contrat de la société n’en dispose autrement.

3 Les associés sont solidairement responsables des engagements qu’ils ont assumés envers les tiers, en agissant conjointement ou par l’entremise d’un représentant; toutes conventions contraires sont réservées.
