Art. 544 II. Effects of representation

1 Objects, rights in rem and claims transferred to or acquired for the partnership belong jointly to the partners as stipulated in the partnership agreement.

2 Unless otherwise provided in the partnership agreement, the creditors of a partner may claim only the share in the proceeds of liquidation of that partner by way of satisfaction.

3 Subject to contrary agreement, partners are jointly and severally liable for obligations to third parties contracted jointly or through representatives.


Art. 543 I. Représentation

1 L’associé qui traite avec un tiers pour le compte de la société, mais en son nom personnel, devient seul créancier ou débiteur de ce tiers.

2 Lorsqu’un associé traite avec un tiers au nom de la société ou de tous les associés, les autres associés ne deviennent créanciers ou débiteurs de ce tiers qu’en conformité des règles relatives à la représentation.

3 Un associé est présumé avoir le droit de représenter la société ou tous les associés envers les tiers, dès qu’il est chargé d’administrer.
