2. Notice and resolutions of general meetings
1 Whenever a general meeting is convened, notice must be given to participation certificate holders together with the agenda items and the motions tabled.
2 Every resolution passed by the general meeting must be made available without delay at the seat of the company and in its registered branch offices for inspection by participation certificate holders. Their attention must be drawn to this in the notice relating to the meeting.

L. Bons de participation
I. Définition; dispositions applicables
1 Les statuts peuvent prévoir un capital-participation divaisé en parts (bons de participation). Ces bons de participation sont émis contre un apport; ils ont une valeur nominale et ne confèrent pas le droit de vote.
2 Toutes les dispositions relatives au capital-actions, à l’action et à l’actionnaire sont applicables au capital-participation, au bon de participation et au participant à moins que la loi n’en dispose autrement.
3 Les bons de participation doivent être désignés comme tels.
