Art. 596 I. Place and contributions in kind

3 Where the specific contributions of limited partners are made wholly or partly in kind, the contribution in kind must be expressly referred to as such and its precise value specified in the registration application and in the entry in the commercial register.

Art. 594 A. Sociétés exerçant une activité commerciale

1 La société en commandite est celle que contractent deux ou plusieurs personnes, sous une raison sociale, pour faire le commerce, exploiter une fabrique ou exercer en la forme commerciale une autre industrie quelconque, lorsque l’un au moins des associés est indéfiniment responsable et qu’un ou plusieurs autres, appelés commanditaires, ne sont tenus qu’à concurrence d’un apport déterminé, dénommé commandite.

2 Les associés indéfiniment responsables ne peuvent être que des personnes physiques; les commanditaires, en revanche, peuvent être aussi des personnes morales et des sociétés commerciales.

3 Les membres de la société sont tenus de la faire inscrire sur le registre du commerce.
