1 Ove il contratto sia stato conchiuso in qualità di rappresentante da chi non vi era autorizzato, il rappresentato diventa creditore o debitore solo quando ratifichi il contratto.
2 L’altra parte può pretendere che il rappresentato si dichiari sulla ratifica entro un congruo termine, e non è più tenuta al contratto se entro questo termine non segua la ratifica.
1 Where a person without authority enters into a contract on behalf of a third party, rights and obligations do not accrue to the latter unless he ratifies the contract.
2 The other party has the right to request that the represented party ratify the contract within a reasonable time, failing which he is no longer bound by it.
