1 Pendant la durée de la société, les créanciers sociaux n’ont aucune action contre le commanditaire.
2 Si la société est dissoute, les créanciers, les liquidateurs ou l’administration de la faillite peuvent demander que la commandite soit remise à la masse en liquidation ou en faillite, en tant qu’elle n’a pas été apportée ou qu’elle a été restituée au commanditaire.
1 A person joining a general or limited partnership as a limited partner is liable with his specific contribution for all partnership liabilities including those that were contracted prior to his accession.
2 Any agreement to the contrary between the partners is void as against third parties.
