1 The board may at any time dismiss the committees, business managers, executive officers and other registered attorneys and commercial agents that it has appointed.
2 The registered attorneys and commercial agents appointed by the general assembly of members may be suspended from their duties at any time by the board, providing a general meeting is convened immediately.
3 Claims for compensation made by persons dismissed or suspended are reserved.
1 Nel fallimento della società, gli amministratori sono tenuti verso i creditori sociali a restituire tutte le somme che nei tre ultimi anni precedenti immediatamente la dichiarazione di fallimento hanno riscosso come partecipazione all’avanzo netto o sotto altra denominazione, in quanto siffatte somme eccedano il compenso giustificato da prestazioni ed in quanto esse non si sarebbero dovute distribuire se il bilancio fosse stato allestito con prudente criterio.
2 La restituzione è esclusa in quanto non possa essere richiesta secondo le norme sull’indebito arricchimento.
3 Il giudice decide con libero apprezzamento, tenendo conto di tutte le circostanze.
