1 Shares may be paid up by offset with a claim.
2 Offset with a claim shall also satisfy the contribution requirement if the claim is no longer covered by assets.
3 The articles of association must indicate the amount of the claim being offset, the name of the shareholder and the shares that they have been issued. The general meeting may repeal the related provisions of the articles of association after ten years.

1 I conferimenti in denaro devono essere depositati presso una banca secondo l’articolo 1 capoverso 1 della legge dell’8 novembre 1934325 sulle banche ed essere tenuti a disposizione esclusiva della società.
2 La banca può rimettere questa somma alla società solo dopo l’iscrizione di quest’ultima nel registro di commercio.
3 Sono considerati conferimenti in denaro i versamenti nella moneta in cui è espresso il capitale azionario, nonché i versamenti effettuati in una moneta liberamente convertibile diversa da quella del capitale azionario.
