1 The rights and obligations arising from a contract made by an agent in the name of another person accrue to the person represented, and not to the agent.
2 Where the agent did not make himself known as such when making the contract, the rights and obligations arising therefrom accrue directly to the person represented only if the other party must have inferred the agency relationship from the circumstances or did not care with whom the contract was made.
3 Where this is not the case, the claim must be assigned or the debt assumed in accordance with the principles governing such measures.
1 Quando il contratto sia stipulato a nome di una terza persona che lo stipulante è autorizzato a rappresentare, non è il rappresentante, ma il rappresentato che diventa creditore o debitore.
2 Se al momento della conclusione del contratto il rappresentante non si è fatto conoscere come tale, il rappresentato diventa direttamente creditore o debitore nel solo caso in cui l’altro contraente dovesse inferire dalle circostanze la sussistenza di un rapporto di rappresentanza o gli fosse indifferente la persona con cui stipulava.
3 Diversamente occorre una cessione del credito od un’assunzione del debito secondo i principi che reggono questi atti.
