311.0 Schweizerisches Strafgesetzbuch vom 21. Dezember 1937
Art. 327a Violation of company law obligations on keeping registers
A person shall be liable to a fine if he or she wilfully fails to keep any of the following registers in accordance with the regulations or if he or she infringes associated company law obligations:
- a.
- in the case of a company limited by shares: the share register in accordance with Article 686 paragraphs 1–3 and 5 CO431 or the register of the beneficial owners of the shares in accordance with Article 697l CO;
- b.
- in the case of a limited liability company: the register of contributions in accordance with Article 790 paragraphs 1–3 and 5 CO or the register of the beneficial owners of the capital contributions in accordance with Article 790a paragraph 5 CO in conjunction with Article 697l CO;
- c.
- in the case of a cooperative: the register of cooperative members in accordance with Article 837 paragraphs 1 and 2 CO;
- d.
- in the case of an investment company with variable capital (Art. 36 of the Collective Investment Schemes Act of 23 June 2006432); the share register recording the company shareholders or the register of the beneficial owners of the shares held by the company shareholders in accordance with Article 46 paragraph 3 of the Collective Investment Schemes Act of 23 June 2006.
Art. 327a Verletzung der gesellschaftsrechtlichen Pflichten zur Führung von Verzeichnissen
Mit Busse wird bestraft, wer vorsätzlich eines der folgenden Verzeichnisse nicht vorschriftsgemäss führt oder die damit verbundenen gesellschaftsrechtlichen Pflichten verletzt:
- a.
- bei einer Aktiengesellschaft: das Aktienbuch nach Artikel 686 Absätze 1–3 und 5 OR431 oder das Verzeichnis über die an Aktien wirtschaftlich berechtigten Personen nach Artikel 697l OR;
- b.
- bei einer Gesellschaft mit beschränkter Haftung: das Anteilbuch nach Artikel 790 Absätze 1–3 und 5 OR oder das Verzeichnis der an Stammanteilen wirtschaftlich berechtigten Personen nach Artikel 790a Absatz 5 OR in Verbindung mit Artikel 697l OR;
- c.
- bei einer Genossenschaft: das Verzeichnis der Genossenschafter nach Artikel 837 Absätze 1 und 2 OR;
- d.
- bei einer Investmentgesellschaft mit variablem Kapital (Art. 36 des Kollektivanlagengesetzes vom 23. Juni 2006432): das Aktienbuch über die Unternehmeraktionärinnen und Unternehmeraktionäre oder das Verzeichnis der Personen, die an den Aktien der Unternehmeraktionärinnen und -aktionäre wirtschaftlich berechtigt sind, nach Artikel 46 Absatz 3 des Kollektivanlagengesetzes vom 23. Juni 2006.
