1 Where there is good cause, the company may apply to the court for the exclusion of a company member.
2 The articles of association may provide that the members’ general meeting company may exclude members from the company on specific grounds.
3 The regulations on follow-up resignations do not apply.
1 Für die Folgen der Auflösung sind die Vorschriften des Aktienrechts entsprechend anwendbar.
2 Die Auflösung einer Gesellschaft muss ins Handelsregister eingetragen werden. Die Auflösung durch Urteil ist vom Gericht dem Handelsregister unverzüglich zu melden. Die Auflösung aus anderen Gründen muss die Gesellschaft beim Handelsregister anmelden.
