1 The creation of a usufruct over capital contributions is governed by the regulations on the transfer of capital contributions.
2 If the articles of association prohibit assignment, then the creation of a usufruct over capital contributions is also prohibited.
1 Ist für die Abtretung von Stammanteilen die Zustimmung der Gesellschafterversammlung erforderlich, so wird die Abtretung erst mit dieser Zustimmung rechtswirksam.
2 Lehnt die Gesellschafterversammlung das Gesuch um Zustimmung zur Abtretung nicht innerhalb von sechs Monaten nach Eingang ab, so gilt die Zustimmung als erteilt.
