Art. 636 IV. Special privileges

If special privileges are granted on foundation to the founding members or other persons, the articles of association must indicate the names of the beneficiaries and the nature and value of the privilege granted.

Art. 634b d. Nachträgliche Leistung

1 Der Verwaltungsrat beschliesst die nachträgliche Leistung von Einlagen auf nicht voll liberierte Aktien.

2 Die nachträgliche Leistung kann in Geld, durch Sacheinlage, durch Verrechnung mit einer Forderung oder durch Umwandlung von frei verwendbarem Eigenkapital erfolgen.
