1 Bei der Errichtung der Gesellschaft muss die Einlage für mindestens 20 Prozent des Nennwertes jeder Aktie geleistet sein.
2 In allen Fällen müssen die geleisteten Einlagen mindestens 50 000 Franken betragen. Lautet das Aktienkapital auf eine ausländische Währung, so müssen die geleisteten Einlagen zum Zeitpunkt der Errichtung einem Gegenwert von mindestens 50 000 Franken entsprechen.324

2 Offset with a claim shall also satisfy the contribution requirement if the claim is no longer covered by assets.
3 The articles of association must indicate the amount of the claim being offset, the name of the shareholder and the shares that they have been issued. The general meeting may repeal the related provisions of the articles of association after ten years.
